Accountability

The Vice President is an executive and voting member of the Board of Trustees of the Da Vinci Waldorf School and appointed in a manner consistent with the bylaws. He/she is accountable to the Board of Trustees for the fulfillment of the duties and responsibilities outlined below 

Term of Office 

Three years with the possibility of renewal for a second term. 

Roles and Responsibilities 

  • Serve as chair of meetings or otherwise fulfill the duties of the President of the Board of Trustees when such President is not available;
  • Serve as the lead trustee in nominating and confirming new officers and members of the Board of Trustees, identifying and screening new candidates as needed;
  • Serve as head of Board development and training, working on Board self-assessments and creating and implementing ongoing learning and development opportunities for the members of the Board of Trustees;
  • Serve as a member of the Board Executive Committee; 
  • Attend to the giving and serving of all official notices for the Corporation; 
  • Perform all duties incident to the office of the Vice President, subject to the control of the Board, and such other duties as may from time to time be required of him or her by the Board, the Executive Committee, or the President. 

Committee Membership 

The Vice President is automatically a member of the Board Executive Committee*, and will also participate in the Strategic Planning efforts.

Qualifications 

  • Commitment to the organization’s mission and strategic directions.
  • Commitment to upholding confidentiality in sensitive matters.
  • Willingness and ability to step into the President role if and as needed.
  • An ability to commit the time required to fulfill the responsibilities described.

Time Commitment 

Board / BEC meetings – approximately 2 hours per month (BOT – monthly, BEC as needed)

Nominations and Board Training – 60+ minutes per month

Additional time for meetings with the Administrator, special meetings for strategic planning, recruitment, training and nomination work and meetings, FAB (Faculty, Administration and Board) gatherings as called and possible.

Parking Lot Safety Patrol for the three major community festival events: Harvest Fest, Kindermarket, May Faire. 

Authority

The Vice President, like the other board members, has no authority to direct staff or take independent action on matters outside of the duties outlined unless given such authority by the Board.

*The Board Executive Committee 

  • shall comprise the Officers of the Board, which shall include the President, Vice President, the Treasurer, and the Vice President,
  • shall function as a long-range planning committee to set goals and objectives for the Corporation,  
  • shall be authorized to expedite Board approvals of routine Board matters between regular meetings of the Board.
